The prop firm model in brief
A prop firm sells evaluation programmes ("challenges") to traders. Those who pass trade a funded account and share profits with the firm. Your terms must explain clearly how evaluations work, how accounts are funded (simulated or live), and how payouts are calculated and paid.
Structure: which company holds what
Many prop groups use two layers: a marketing or technology company, plus an operating entity that holds the platform license and contracts with traders. A Saint Lucia IBC is a common choice for the operating entity because it can be formed quickly with trading and financial services objects and supported by a local legal opinion.
Getting MT5
After MetaQuotes’ 2024 enforcement, the route back to MT5 is a direct license. Prepare the 10-item document file (see our requirements checklist), make sure your website meets MetaQuotes’ rules, and note that US-facing prop activity has been specifically restricted. Most firms that regained MT5 did so for non-US traders.
Payments in and payouts out
You need a corporate bank account (and a reference letter for MetaQuotes), plus payment methods for challenge fees and trader payouts. Some firms use crypto rails such as USDT alongside card and bank payments. Document these flows, because banks and PSPs will ask.
