MT5 & Saint Lucia company glossary

The terms you will meet when setting up a broker or prop firm and applying for an MT5 license, explained in plain language.

MT5 license

A direct agreement with MetaQuotes to operate MetaTrader 5 for your own clients.

An MT5 license lets a company run its own MetaTrader 5 trading server, show its brand and website in the terminal, and manage client accounts. MetaQuotes sells MT5 licenses only (no new MT4), in tiers based on the number of real accounts. The first payment covers three months of license fees.

MetaQuotes

The software company that develops MetaTrader 4 and MetaTrader 5.

MetaQuotes Ltd develops the MetaTrader platforms and decides who may license them. Since 2024 it has enforced direct licensing and reviews each applicant’s company, ownership and compliance.

White label

A branded MT5 setup running under another company’s license.

With a white label, a licensed provider gives you a branded part of its MT5 server. Your access depends on the provider’s relationship with MetaQuotes, and you cannot create your own sub-white labels.

Full ("main label") license

An MT5 license held directly by your own company.

A full or main-label license is a direct contract between your company and MetaQuotes, giving you full control of your server and the ability to offer white labels to others.

Grey label

An informal arrangement using someone else’s MetaTrader access without a proper agreement.

Grey labels were a common shortcut before 2024. MetaQuotes has since cut off access for firms using MetaTrader without a direct relationship.

IBC (International Business Company)

A Saint Lucia company designed for international business.

A Saint Lucia IBC is formed under the International Business Companies Act. It can be 100% foreign-owned, needs one director and one shareholder, and is typically incorporated in 3–5 business days.

Registered agent

The licensed local firm that forms and maintains your company.

Every Saint Lucia IBC must have a registered agent licensed in Saint Lucia. The agent files incorporation documents, keeps beneficial ownership records and issues certificates such as incumbency.

Registered office

The company’s official address in Saint Lucia, usually the agent’s office.

The registered office is where official notices are served. MetaQuotes asks for proof of it and, separately, proof of a physical operating address.

Physical (business) address

The real address where the company operates.

MetaQuotes accepts a utility bill in the company’s name, a corporate document stating the business address, or a certified confirmation letter from officials, a law firm or an accounting firm.

Certificate of Incorporation

The certificate proving the company was legally formed.

Issued by the registry on incorporation, it shows the company name, number and date. It is item 1 on MetaQuotes’ checklist.

Certificate of Good Standing

Official confirmation that the company is up to date with its obligations.

MetaQuotes asks for recent proof of good standing for companies older than six months. Banks also usually want a recent one.

Certificate of Incumbency

A certificate listing the current directors, shareholders and registered office.

Issued by the registered agent, it confirms who currently runs and owns the company. It is commonly used for new companies in place of good standing.

Memorandum & Articles

The company’s constitution, including its permitted activities (objects).

For an MT5 application, the Memorandum ideally names activities such as online forex trading, brokerage and financial services. Where it does not, a legal opinion fills the gap.

UBO (Ultimate Beneficial Owner)

The real person who ultimately owns or controls the company.

MetaQuotes, banks and agents always identify the UBO, even behind nominees or holding companies. The UBO completes SumSub verification for MetaQuotes.

Nominee director / shareholder

A professional appointed to hold a directorship or shares on behalf of the real owner.

Nominees provide privacy from public view but not from regulators, banks or MetaQuotes, who require documents establishing the beneficial owner.

Bank reference letter

A letter from your bank confirming the company holds an account in good order.

MetaQuotes asks for a bank reference letter addressed to MetaQuotes. If it is not available, a certified bank statement may be considered.

PSP confirmation letter

A certified letter confirming your relationship with a payment service provider.

Useful when the business operates mainly through a PSP rather than a traditional bank account.

SumSub verification

Online identity verification that MetaQuotes uses for signatories and UBOs.

The authorised signatory and the UBO complete SumSub checks via a link from MetaQuotes. Minority shareholders do not need to.

KYC (Know Your Customer)

Identity and background checks on directors, shareholders and owners.

Registered agents, banks and MetaQuotes all perform KYC. Typical documents are a certified passport, proof of address and sometimes references and a source-of-funds explanation.

FSRA

Saint Lucia’s Financial Services Regulatory Authority.

The FSRA supervises regulated financial services in Saint Lucia. Under the current framework, an IBC offering FX/CFD services only to clients outside Saint Lucia and CARICOM does not need an FSRA licence.

CARICOM

The Caribbean Community, a regional group of which Saint Lucia is a member.

Saint Lucia IBCs offering FX/CFD services without an FSRA licence should not solicit clients in Saint Lucia or, in practice, CARICOM.

Economic substance

Rules requiring real activity in a jurisdiction for certain tax treatments.

Saint Lucia has aligned its regime with OECD and EU standards. Whether substance rules affect you depends on your activities; confirm with a local adviser.

Apostille

A certificate that authenticates a document for use in another country.

Banks or authorities abroad may require apostilled copies of corporate documents.

Prop trading firm

A company that evaluates traders and gives successful ones access to funded accounts.

Prop firms were heavily affected by MetaQuotes’ 2024 enforcement. Several regained MT5 in 2025 with their own Saint Lucia entities.

CFD (Contract for Difference)

A derivative that pays the difference in an asset’s price between opening and closing.

Forex brokers typically offer CFDs on currencies, indices, commodities and crypto. Many onshore markets restrict CFD offerings without a local licence.

Liquidity provider

A firm that supplies prices and executes trades for brokers.

Brokers connect their MT5 server to liquidity providers, often through a bridge, to route or hedge client orders.
