- Saint Lucia does not issue a forex or brokerage licence. The FSRA says “forex business is not licensed in Saint Lucia”, and the IBC Registry says the same in its FAQ.
- Any document that claims a St Lucia company is “licensed” by or “affiliated” with the FSRA for forex is, in the FSRA’s own words, “false and misleading”.
- The ECSRC licenses securities market intermediaries across the Eastern Caribbean Currency Union. That is a regional securities regime, not an offshore FX or CFD licence for an IBC.
- A St Lucia IBC is a lawful, registered company that many brokers use as the contracting entity for a MetaTrader 5 setup. It is not a licence, and it should never be described as one.
- A real licence comes from where your clients are, or from a jurisdiction that issues one, such as Mauritius or The Bahamas.
- We form St Lucia IBCs through licensed registered agents and prepare the MetaQuotes document pack. We are not a law firm and we cannot promise MetaQuotes approval.
The short answer: there is no Saint Lucia brokerage licence
Saint Lucia does not issue a forex licence, a CFD licence or an offshore brokerage licence. The Financial Services Regulatory Authority (FSRA) says so in its published warning notices, and the Registry of International Business Companies says so in its FAQ. If you searched for a “saint lucia brokerage license” or a “saint lucia forex license”, the honest result is that the product does not exist under St Lucia law.
What does exist is the St Lucia International Business Company (IBC): a registered company formed under the International Business Companies Act, Cap. 12.14, through a licensed registered agent. Many forex and prop-trading founders use an IBC as the legal entity behind a MetaTrader 5 setup, because it gives them a certificate of incorporation, registers of directors and shareholders, a registered office and a clear corporate identity. None of those documents is a licence.
If you only need the company side, start with our St Lucia company formation page. For the wider broker picture, see forex broker setup.
What the FSRA and the IBC Registry actually say
The FSRA: “forex business is not licensed in Saint Lucia”
The FSRA was set up under the Financial Services Regulatory Authority Act, No. 13 of 2011, and has operated since January 2014. It supervises insurance and international insurance, international banks, international mutual funds, co-operative societies, registered agents and trustees, money services businesses and the Saint Lucia Development Bank. Forex dealing is not on that list.
In warning notices about firms that claimed a St Lucia connection, signed by the FSRA’s Executive Director, the Authority wrote:
“Further, please be advised that forex business is not licensed in Saint Lucia. Therefore, documents provided by a forex business company which indicate that it is registered, licensed or in any way affiliated with the Authority are false and misleading.”
It does not ban forex companies from incorporating. It says no forex licence exists, and that paper suggesting FSRA licensing or affiliation is false.
The Registry: “does not currently regulate or licence”
The Registry of International Business Companies is run by Pinnacle St. Lucia, a wholly government-owned body. Its public FAQ states:
“Saint Lucia does not currently regulate or licence Forex Trading or Binary Options business.”
Who does what in St Lucia
| Body | Role | Does it license forex or brokerage? |
|---|---|---|
| FSRA (fsrastlucia.org) | Regulates insurance, international banks, international mutual funds, co-ops, registered agents and trustees, money services businesses | No. Its warning notices say forex business is not licensed |
| Registry of IBCs (Pinnacle St. Lucia) | Incorporates IBCs and keeps the register, through licensed registered agents | No. Its FAQ says it does not regulate or licence forex or binary options |
| Licensed registered agent | Runs due diligence, files the incorporation documents, keeps registers, acts as registered office | No. The agent is regulated by the FSRA but issues no trading licence |
| ECSRC (regional) | Regulates securities markets and licenses market intermediaries across the ECCU | Securities intermediaries only; whether its regime reaches spot FX or CFDs is not confirmed |
The ECSRC broker-dealer regime, and why it is not an offshore FX licence
Some searches for a “Saint Lucia brokerage licence” lead to the Eastern Caribbean Securities Regulatory Commission (ECSRC), a real regulator.
St Lucia is a member of the Eastern Caribbean Currency Union (ECCU), which share a central bank and a regional securities market. The ECSRC regulates that regional market and licenses securities market intermediaries, such as broker-dealers and their representatives, under the securities legislation adopted across the member states.
That regime is not what most people searching this topic want:
- It is regional and securities-focused. It is built around the Eastern Caribbean securities market, not around offshore retail forex.
- Its reach over spot FX and CFDs is unconfirmed. We have not found a primary source confirming that the ECSRC licenses offshore spot forex or CFD brokerage. Until a primary source says so, treat that as an open question for a qualified lawyer, not as a route.
- It is not an add-on to an IBC. An ECSRC licence is a full regulatory application, separate from incorporating a St Lucia IBC. Forming an IBC does not give you, or move you towards, ECSRC status.
You can check the ECSRC’s register of licensed intermediaries on its website. If a provider tells you that your new St Lucia IBC “comes with” an ECSRC broker-dealer licence, ask for the licence number and look it up yourself.
How to describe a St Lucia IBC accurately
The FSRA’s warnings target firms that put “licensed in Saint Lucia” or “regulated by the FSRA” on their websites. That wording is false, and it can also cost you banks, payment providers and MetaQuotes.
| Avoid | Use instead | Why |
|---|---|---|
| “Licensed in Saint Lucia” | “Incorporated in Saint Lucia as an International Business Company, registration no. …” | Incorporation is a fact. A forex licence does not exist |
| “Regulated by the FSRA” | “The company is not regulated by the FSRA or any St Lucia authority for forex or brokerage activity” | The FSRA says such claims are false and misleading |
| “St Lucia forex licence holder” | “Registered office: [agent address], Saint Lucia” | Only the registration and office are public facts |
| “Authorised broker in the Caribbean” | Name the specific licence, regulator and number, or leave it out | Vague regional claims suggest an ECSRC licence you do not hold |
| “Approved by MetaQuotes” | “Uses the MetaTrader 5 platform under licence from MetaQuotes” | MetaQuotes licenses software. It does not regulate or approve brokers |
A clear jurisdiction disclaimer and a restricted-countries list also belong on your website. MetaQuotes expects them, and they show clients that you are not pretending to hold a licence you do not have. Our guide to MetaQuotes website requirements lists the elements one by one.
Exact disclaimer wording is a legal question, and we are not a law firm: have it reviewed by a lawyer in your target markets.
The IBC route: what a St Lucia company does in an MT5 setup
For an MT5 setup, a St Lucia IBC serves as the contracting entity: the company that signs with MetaQuotes, holds the domain, opens bank and payment accounts, and appears on the website.
Key IBC rules
- The name must end in “International Business Company” or “IBC” (s.10(11) of the Act).
- Only a registered agent licensed under the Registered Agent and Trustee Licensing Act can incorporate an IBC (s.4(1)), and the company must keep a registered agent and registered office in St Lucia at all times (ss.38–39).
- One director is enough under the model articles, and the director does not need to live in St Lucia.
- IBCs incorporated from 1 January 2019 must meet substance requirements, with adequate employees, operating expenses and investment for their activity (s.5A(3)(b)). A statutory declaration covering the anti-money laundering, anti-terrorism and income tax laws is filed at incorporation (s.5A(2)).
- According to the Registry FAQ, from 1 July 2021 all IBCs are subject to income tax and must file annual tax returns.
How the IBC route works, step by step
- Define the model. Decide who your clients are, where they live, and whether you are a broker, a prop firm or a technology company.
- Due diligence with a licensed agent. The registered agent checks the directors, shareholders and beneficial owners, and takes the s.5A(2) declaration.
- Name check and filing. The agent reserves the name and files the memorandum and articles with the Registry.
- Certificate of incorporation. In our experience with our agents, this arrives about 3–5 business days after due diligence is complete. That is indicative, not an official timeline.
- Tax registration and banking. The company registers with the Inland Revenue Department, then applies for a corporate bank or payment account.
- MetaQuotes document pack. Corporate documents, address proofs, the website and a bank reference are prepared for the MetaQuotes review (see below).
- Ongoing compliance. The annual Registry fee is due by 15 January, the shareholder and beneficial-owner return goes to the agent by 15 February, and an annual tax return is filed.

How we help: your St Lucia IBC and MetaQuotes pack, done properly
We do not sell a licence, because St Lucia does not issue one. We sell the parts of the setup that are real and that we can deliver:
- St Lucia IBC formation through licensed registered agents: name check, due diligence, the s.5A(2) declaration, memorandum and articles, and the certificate of incorporation.
- Activities drafted for an MT5 business: stated activities such as trading of financial instruments, online forex or brokerage and financial services, with a legal opinion or representation letter arranged through the agent where needed.
- The full MetaQuotes document pack: certificate of good standing or incumbency, registers of directors and shareholders, proof of registered and physical address, activities confirmation and bank reference letter, checked against the list MetaQuotes asks for.
- Website compliance checklist: company name, registered and physical address, contact details, risk warning and jurisdiction disclaimer, written so that nothing claims a licence you do not hold.
- Optional extras: nominee services, physical address and bank or payment account introductions.
We are an independent consultancy. We are not affiliated with MetaQuotes, we are not a law firm, and the MetaQuotes decision is theirs. What we control is the quality and completeness of the file you submit.

What MetaQuotes asks a St Lucia IBC to provide
MetaQuotes sells MetaTrader 5 directly to brokers. Its public guide to starting a brokerage puts “a registered company, with the relevant business activities registered” as step one, together with compliance with applicable regulatory requirements and a corporate bank account. MetaQuotes is a software vendor. Its footer states that it “does not provide investment or brokerage services”, and it does not license brokers.
From the requests our clients have received, the document pack for a St Lucia IBC usually covers ten items:
- Certificate of incorporation.
- Certificate of good standing or incumbency, if the company is more than six months old.
- Register of directors.
- Register of shareholders showing beneficial owners, with supporting documents if nominees are used.
- Proof of registered address.
- Proof of physical address: a utility bill, corporate document or certified confirmation letter.
- Domain ownership and a compliant website.
- Confirmation of activities: the memorandum, or a legal opinion or representation letter.
- A corporate bank reference letter addressed to MetaQuotes, or a certified bank statement.
- Identity checks through SumSub for the signatory and the beneficial owner.
MetaQuotes may ask for more, and requirements change. These items reflect our clients’ experience, not a published MetaQuotes policy for St Lucia. The detailed version is on our MetaQuotes requirements page, and the activities letter is explained in legal opinion for an MT5 licence.
The MT5 licence comes in three tiers by number of real accounts: Entry (1,000), Standard (25,000) and Enterprise (200,000). The first payment covers three months of licence fees. The broker hosts its own servers.
Your clients’ countries decide whether you need a licence
Financial regulation mostly follows the client. A company taking retail forex clients in a country that requires a local licence can break that country’s law, wherever it is incorporated.
The neighbouring regulator in St Vincent and the Grenadines put this plainly. In a warning notice of 14 October 2025, the SVG FSA said that companies registered there and engaged in forex trading or brokerage “MUST obtain the necessary authority or license from the jurisdiction where their clients are located.” SVG is a different jurisdiction, but the principle applies to any offshore company with no home-country forex licence.
Common models: a technology or B2B IBC (software, prop-trading evaluations, professional counterparties); a licensed-elsewhere structure where a regulated entity serves clients and the IBC is a holding or service company; or a target-market licence in the countries you market to.
Which model fits you is a legal question. Take advice from a lawyer in your target markets before you go live. Our guide to starting a forex brokerage covers the business decisions around it.
Alternatives: jurisdictions that do issue broker licences
If your model needs a real licence, look at a jurisdiction where the regulator actually issues one. Two common choices for offshore-style brokers are Mauritius and The Bahamas. Both are much heavier than an IBC, with local staff, officers, capital and audit rules.
| Jurisdiction | Is there a forex or broker licence? | Regulator and legal basis | What it involves |
|---|---|---|---|
| Saint Lucia | No. “Forex business is not licensed in Saint Lucia” (FSRA) | IBC Act Cap. 12.14 (company only) | IBC through a licensed agent; substance and annual filings; no trading licence |
| St Vincent and the Grenadines | No. The FSA “does NOT issue licences for Forex trading or brokerage activities” | Business Companies Act, Cap. 149 | Since January 2023, forex companies must show a licence from where they operate before incorporation |
| Mauritius | Yes. Investment dealer licence (full service, broker, discount broker, derivatives) | FSC; Securities Act 2005 s.29; Securities (Licensing) Rules 2007 | Global Business Licence, management company, two resident directors, compliance officer and MLRO, minimum capital, local audit |
| The Bahamas | Yes. Registered firm, including registration to deal in CFDs | Securities Commission; Securities Industry Act 2024 | Registered CEO managing operations in The Bahamas, compliance officer, insurance, business capital, quarterly and audited reporting |
Neither publishes a fixed timeline. Check licence holders on the FSC Mauritius register and the Securities Commission of The Bahamas search.
A common structure keeps a St Lucia IBC for the technology and contracting side while a licensed entity elsewhere handles regulated client business. Red flags when someone sells a “St Lucia forex licence”
Some providers sell a product to match the search term. Warning signs:
- A “licence certificate” with an FSRA logo. The FSRA has said such documents are false and misleading.
- A licence number you cannot verify. Real regulators publish their licensees. If no official register shows the number, it is not a licence.
- “Guaranteed MetaQuotes approval”. Nobody outside MetaQuotes can guarantee it.
- An ECSRC licence bundled with an IBC. The two are separate. Check the ECSRC register yourself.
- No named registered agent. Only a licensed agent can incorporate a St Lucia IBC. Ask who the agent is.
To verify a company, ask the agent for a certificate of good standing. We have not found a free public online IBC search for St Lucia, so the agent and the Registry are the reliable routes. See also why St Lucia.

Frequently asked questions
Does Saint Lucia issue a brokerage or forex licence?
No. The FSRA states that “forex business is not licensed in Saint Lucia”, and the Registry FAQ says Saint Lucia “does not currently regulate or licence Forex Trading or Binary Options business.” There is no St Lucia brokerage licence for offshore FX or CFD firms.
Can a St Lucia IBC legally run a forex business?
A St Lucia IBC can be incorporated with activities such as trading of financial instruments, and many founders use one for an MT5 setup. Whether the business is lawful depends mainly on the countries where your clients live, since many require a local licence. Take advice from a lawyer in your target markets.
Is the FSRA my regulator if I form a St Lucia IBC for forex?
No. The FSRA regulates the registered agent who forms and administers your company, not your trading activity. Claiming FSRA regulation or affiliation for a forex business is exactly what the FSRA calls “false and misleading”.
What is the ECSRC, and can it license my broker?
The Eastern Caribbean Securities Regulatory Commission regulates the regional securities market of the ECCU, which includes St Lucia, and licenses intermediaries such as broker-dealers. We have not found a primary source confirming that it licenses offshore spot FX or CFD brokerage. It is a separate, full application and is not included with an IBC.
Can I write “licensed in Saint Lucia” on my website?
No. Say that the company is incorporated in Saint Lucia as an IBC, give its registration number and registered office, and add a clear jurisdiction disclaimer. Have the final wording checked by a lawyer.
Will MetaQuotes accept a St Lucia IBC?
In our clients’ experience, MetaQuotes reviews St Lucia IBCs that submit a complete document pack with suitable stated activities. MetaQuotes has not published a St Lucia-specific policy, and the decision is always theirs. We are not affiliated with MetaQuotes and cannot promise approval.
What documents does MetaQuotes usually ask for?
Typically a certificate of incorporation, good standing or incumbency, registers of directors and shareholders, proofs of registered and physical address, a compliant website, confirmation of activities, a bank reference letter and SumSub identity checks.
How long does it take to form a St Lucia IBC?
In our experience, the agent issues the certificate of incorporation about 3–5 business days after due diligence is complete. Supporting documents such as a legal opinion, incumbency or physical address usually take around another week. These times are indicative, not official.
Is St Lucia the same as St Vincent for forex companies?
No. Neither issues a forex licence, but since January 2023 the SVG FSA has required companies that want to do forex business to show a licence or competent-authority letter from where they operate before incorporation. St Lucia has no equivalent published rule.
Which jurisdictions issue a real broker licence instead?
Mauritius (investment dealer licence from the FSC) and The Bahamas (registered firm, including CFD dealing, under the Securities Industry Act 2024) are common choices. Both require local management, officers, capital and audits.
Do St Lucia IBCs pay tax?
According to the Registry FAQ, from 1 July 2021 all IBCs are subject to income tax and must file annual tax returns. IBCs incorporated from 2019 are also subject to substance requirements. Confirm rates and filings with a St Lucia tax adviser.
