- Once due diligence is complete, a St Lucia IBC is typically incorporated in 3–5 business days. Due diligence, not the Registry, is what usually sets the pace.
- The follow-on corporate documents (incumbency, legal opinion, physical address, nominee services, bank or PSP letter) generally take about one more week through the agent.
- A well-prepared founder can usually have a company and a full document pack in roughly two to three weeks. These are indicative figures, not an official Registry timeline.
- MetaQuotes reviews your MT5 application separately, on its own schedule, after the company and website exist. Nobody outside MetaQuotes can promise its timing or its approval.
- The biggest delays come from incomplete KYC, unclear source of funds, a vague business description, name conflicts, an unfinished website and slow bank onboarding.
- Plan around the calendar: the Registry fee falls due by 15 January, and the shareholder and beneficial-owner return by 15 February.
The short answer: how long it takes to set up a St Lucia company
A St Lucia International Business Company (IBC) is typically incorporated within 3–5 business days once the registered agent has completed due diligence on you. The supporting corporate documents that brokers and prop firms need afterwards, such as an incumbency certificate, a legal opinion, a proof of physical address and a bank or PSP letter, generally take about one more week. If your KYC file is complete on day one, you can usually expect a company plus a usable document pack in roughly two to three weeks.
Three points shape that answer:
- The clock starts when due diligence is complete, not when you first make contact. Only a registered agent licensed under RATLA (Cap. 12.12) can incorporate an IBC (IBC Act, Cap. 12.14, s.4(1)), and the agent will not file until your customer due diligence (CDD) file is accepted.
- These figures come from agent practice, not from a published Registry standard. We have not found an official incorporation timeline from the Registry of International Business Companies, so treat every number in this guide as indicative.
- The MetaQuotes review is a separate step. If you are forming the company to apply for an MT5 licence, MetaQuotes reviews your application on its own timetable after the company exists. That part is outside the agent’s and our control.
We are not a law firm; the legal points below summarise public sources and are not legal advice.
St Lucia IBC incorporation time, stage by stage
The legal path is short. Under the IBC Act, the registered agent files the Memorandum and Articles (s.4), and the Registry issues a certificate of incorporation (ss.5–6). For IBCs incorporated from 1 January 2019, a statutory declaration under s.5A(2) about compliance with the Anti-Money Laundering, Anti-Terrorism and Income Tax Acts is part of the file. Everything around those filings, from KYC to bank letters, is where time is actually spent.
| Stage | Who does it | Typical time (indicative) | What you provide |
|---|---|---|---|
| 1. Intake and structure | You, with us | 1–2 days | Proposed names, directors, shareholders, beneficial owners, intended activities |
| 2. Due diligence (CDD/AML) | RATLA-licensed agent | Depends on your file; often a few days if complete | Certified passports, proof of address, CVs or bank references, source of funds and wealth |
| 3. Name check and s.5A(2) declaration | Agent, you sign | Usually alongside due diligence | Name ending in “International Business Company” or “IBC” (s.10(11)); signed declaration |
| 4. Filing and certificate of incorporation | Agent and Registry | Typically 3–5 business days after due diligence | Approval of the Memorandum and Articles, including the business objects |
| 5. Corporate document set | Agent and partners | Generally about 1 week | Instructions on legal opinion, physical address, nominee services, bank or PSP letter |
| 6. Tax registration | Agent or adviser | Varies | Company details for Inland Revenue registration |
| 7. Bank or PSP account | Bank or PSP | Varies widely; outside the agent’s control | Business plan, KYC, website, expected flows |
| 8. MetaQuotes application (if MT5) | You, reviewed by MetaQuotes | Set by MetaQuotes | The 10-document pack, a compliant website, SumSub verification |
Stages 1 to 5 are the part a well-organised founder can compress. Stages 6 to 8 depend on third parties, so plan them as parallel tracks rather than a single queue. Our St Lucia company formation page explains the corporate side in more detail.
Week-by-week timeline for a St Lucia IBC
Here is a realistic plan for a founder who answers quickly and has documents ready. It assumes the company is being set up for a forex brokerage or prop firm that will later apply to MetaQuotes. A plain holding or trading company stops after week 2.
| Week | Main work | Milestone at the end | Your job this week |
|---|---|---|---|
| Week 0 (preparation) | Choose names, decide the shareholding and directors, collect certified KYC | Complete intake file | Get certified copies made and gather source-of-funds evidence before you start |
| Week 1 | Agent due diligence, name check, s.5A(2) declaration, drafting of the Memorandum and Articles with forex, brokerage and financial-services objects | Due diligence accepted; filing made | Answer agent questions the same day; sign and return documents promptly |
| Week 1–2 | Registry processes the filing | Certificate of incorporation (typically 3–5 business days after due diligence) | Finalise the website draft with the company name and addresses |
| Week 2–3 | Corporate document set: registers, incumbency, legal opinion, physical address, nominee services if used, bank or PSP letter | MetaQuotes document pack assembled (generally about 1 week) | Publish the compliant website; prepare signatory and beneficial-owner IDs for SumSub |
| Week 3 onwards | Submission to MetaQuotes; bank or PSP onboarding in parallel | Application under MetaQuotes review | Respond to any MetaQuotes questions quickly and consistently |
| Ongoing | Tax registration, account opening, annual compliance | Company in good standing | Diary 15 January and 15 February every year |
A few practical notes on this table:
- Week 0 is the one you control most. Starting certified documents late usually costs a week.
- The website runs in parallel. It cannot be finished until you know the exact company name, but it can be 90% built in week 1. The disclosures MetaQuotes expects are listed in our MetaQuotes website requirements guide.
- Bank onboarding has no fixed week. Some banks and PSPs move quickly, while others take much longer for forex-related businesses. Start early and do not let your MetaQuotes submission wait for it if a certified alternative is acceptable.
Why due diligence sets the real pace
When founders ask how long it takes to set up a company in St Lucia, they usually mean the time from first contact to the certificate. In practice, the Registry step is short and predictable, while due diligence is where files stall. A RATLA-licensed agent is supervised by the Financial Services Regulatory Authority (FSRA) and must be satisfied about who you are and where your money comes from before filing. The IBC (Amendment) Act No. 2 of 2022 added compliance monitoring of agents, so they are thorough.
A due-diligence file that moves quickly usually contains:
- Certified passport copies for every director, shareholder and beneficial owner, legible and in date.
- Recent proof of residential address, such as a utility bill or bank statement, normally dated within the last few months.
- Source of funds and source of wealth: a short explanation backed by evidence, for example sale of a business, salary history or investment statements.
- A professional or bank reference or CV where the agent asks for one, especially for a financial-services business.
- A clear description of the business: what the company will do, from where, for which clients and in which countries. For brokers, this also feeds the business objects in the Memorandum.
- Ownership chart if a corporate shareholder sits in the structure, with that company’s own documents and its beneficial owners.
Corporate shareholders, trusts and multi-layer structures add time because each layer needs its own documents. Keep the structure simple unless you need the layers: MetaQuotes still asks for the ultimate beneficial owners and their supporting documents.
Get your St Lucia IBC and MetaQuotes pack on a planned timeline
We are not a registered agent ourselves, and we do not pretend to be. We form your St Lucia IBC through RATLA-licensed registered agents and run the whole file against a clear timetable, so you are not left guessing which step you are on.
- Day-one checklist: before you start, we tell you exactly which certified documents, source-of-funds evidence and business description the agent will want, so due diligence is not held up by back-and-forth.
- Formation through a licensed agent: name check, s.5A(2) declaration, and Memorandum and Articles with forex, brokerage and financial-services objects, followed by incorporation in typically 3–5 business days once due diligence is complete.
- MetaQuotes document pack in about a week: registers of directors and shareholders, proof of registered address, incumbency or good standing, activities confirmation or legal opinion, proof of physical address and a bank or PSP reference letter where available.
- Website check in parallel: we review your site against the disclosures MetaQuotes expects, so it is ready when the documents are.
- After formation: reminders for the January and February deadlines so your company stays in good standing.
We have no affiliation with MetaQuotes, and we cannot promise its approval or its review time. What we can do is hand you a complete, consistent file quickly. After the certificate: the one-week document set
The certificate of incorporation proves the company exists. It does not, on its own, satisfy MetaQuotes, banks or payment providers. That is why most broker and prop-firm founders order a second set of documents straight after incorporation. Through the agent and its partners, these services generally take about one week:
- Incumbency certificate (or a certificate of good standing for an older company). MetaQuotes asks for one if your certificate of incorporation is more than six months old, so a newly formed company may not need it immediately.
- Legal opinion or representation letter confirming the company’s permitted activities. See our legal opinion for MT5 licence guide.
- Proof of physical address: a utility bill, corporate document or certified confirmation letter.
- Updated corporate documents: registers of directors and shareholders reflecting the final structure.
- Nominee director or shareholder services, if chosen, with the supporting documents MetaQuotes requires.
- Bank account assistance and a PSP letter for payment processing.
In parallel, the company should be registered with the Inland Revenue Department. According to the Registry FAQ, from 1 July 2021 all IBCs became subject to income tax and must file annual tax returns. We do not publish a fixed time for tax registration, because it depends on the authority and the adviser handling it.
The bank reference letter is often the slowest item, because it depends on a bank account being open first. Our bank reference letter guide covers what MetaQuotes accepts, including a certified statement as an alternative.
The MetaQuotes review is a separate clock
Many founders treat the company and the MT5 licence as one project with one deadline. They are two projects. The company timeline ends when you hold the certificate and the document pack. The MetaQuotes timeline starts when you submit a complete application, and only MetaQuotes decides how long its review takes and whether it approves.
MetaQuotes’ public guidance for brokers starts with “a registered company, with the relevant business activities registered”, compliant with applicable regulatory requirements, and a corporate bank account. Your website must show your registration number, addresses, risk disclosures and restricted countries. The owner’s experience of MetaQuotes applications points to a pack of 10 documents:
- Certificate of incorporation
- Certificate of good standing or incumbency (if the company is more than six months old)
- Register of directors
- Register of shareholders (beneficial owners, plus nominee support documents)
- Proof of registered address
- Proof of physical address
- Domain ownership and a compliant website (company name, registered and physical address, email or contact form and phone number, risk warning, jurisdiction disclaimer)
- Confirmation of activities (Memorandum or legal opinion or representation letter)
- Corporate bank reference letter addressed to MetaQuotes, or a certified statement
- SumSub verification for the signatory and beneficial owners
The phone number in item 7 refers to the contact details on your company’s website, which MetaQuotes expects to see. MetaQuotes sells MT5 only, in Entry (1,000 real accounts), Standard (25,000) and Enterprise (200,000) tiers. Our MetaQuotes requirements page covers each item in more depth.
One legal point also affects timing indirectly. The Registry FAQ states that “Saint Lucia does not currently regulate or licence Forex Trading or Binary Options business”, and the FSRA says the same in its warning notices. Do not delay your project waiting for a “St Lucia forex licence”, because none is available. Depending on where your clients are located, you may need authorisation elsewhere. Take legal advice on that point, and see our guide to the St Lucia IBC for forex brokers.
What slows down a St Lucia company setup
Most delays are predictable, and most can be prevented before you start. These are the ones we see most often:
| Delay | Why it costs time | How to avoid it |
|---|---|---|
| Uncertified or expired KYC documents | The agent cannot accept them, so due diligence restarts | Certify passports and proof of address before you begin; check expiry dates |
| Unclear source of funds or wealth | The agent raises follow-up questions, and each round adds days | Write a short narrative and attach evidence up front |
| Vague business description | Business objects and risk assessment cannot be finalised | State the activity plainly: online forex, brokerage, trading of financial instruments, client locations |
| Name conflict or wrong suffix | The name must be changed and rechecked | Give two or three alternatives, each ending in “International Business Company” or “IBC” |
| Layered or corporate ownership | Every layer needs its own documents and beneficial-owner checks | Keep the structure simple unless there is a real reason not to |
| Late changes to directors or shareholders | Registers, legal opinion and MetaQuotes pack must be redone | Fix the structure before filing |
| Website not ready | MetaQuotes expects a live, compliant site on your own domain | Build it in week 1 and add final details after incorporation |
| Bank or PSP onboarding | No bank reference letter until an account exists | Apply early; ask whether a certified statement is acceptable |
| Slow signatures and replies | Every document waits for you | Name one decision-maker who signs and replies the same day |
| Holiday periods | Agents, registries and banks work reduced hours | Avoid starting a tight timeline over late December |
None of these delays come from the Registry itself. When a St Lucia IBC takes a month instead of two weeks, the cause is almost always an incomplete file or a mid-way change. Once formed, the company must keep its agent and office at all times (ss.38–39) and meet the 15 January fee and 15 February return deadlines.
How to get your St Lucia IBC formed faster
If speed matters, for example because you have a launch date or a liquidity provider waiting, follow this order:
- Decide the structure first. Confirm directors, shareholders, beneficial owners and whether you will use nominee services. Changing these after filing is the most expensive delay.
- Prepare certified KYC for every person. Include passports, recent proof of address and a source-of-funds explanation with evidence.
- Write a one-paragraph business description. Cover the activity, target clients, countries served and the platform you plan to use. The same text will feed the Memorandum, the legal opinion and your website.
- Shortlist three names, each ending in “International Business Company” or “IBC”.
- Register the domain and start the website in week 1, following MetaQuotes’ disclosure expectations.
- Order the post-incorporation documents at the same time as formation, so the agent can start on them the day the certificate is issued.
- Start bank or PSP onboarding as soon as the certificate arrives. Have your business plan and website ready, because banks will ask for both.
- Submit to MetaQuotes only when the pack is complete and consistent. An application with mismatched addresses or names between documents and the website usually costs more time than it saves.

Frequently asked questions
How long does it take to set up a company in St Lucia?
A St Lucia IBC is typically incorporated within 3–5 business days once the registered agent has completed due diligence. Adding the usual supporting documents, such as incumbency, a legal opinion and a proof of physical address, takes about one more week. With a complete KYC file, two to three weeks from start to a full document pack is a realistic, indicative target.
What is the St Lucia IBC incorporation time after due diligence?
In agent practice, it is typically 3–5 business days from accepted due diligence to the certificate of incorporation. This is not an official Registry standard, so treat it as indicative. Holiday periods and name issues can extend it.
Can I incorporate a St Lucia IBC myself to save time?
No. Under s.4(1) of the IBC Act, only a registered agent licensed under RATLA can incorporate an IBC. The fastest route is to give a licensed agent a complete file on day one.
What usually delays a St Lucia company setup?
Incomplete or uncertified KYC, unclear source of funds, a vague business description, name conflicts and late changes to directors or shareholders are the most common causes. Layered ownership adds time because each layer needs its own checks. Bank and PSP onboarding can also hold up the bank reference letter.
How long does the MetaQuotes review take after my company is formed?
MetaQuotes reviews applications on its own schedule, so no agent or consultant can promise a timeframe. What you control is submitting a complete, consistent 10-document pack with a compliant website. We have no affiliation with MetaQuotes and cannot guarantee approval.
Can I apply to MetaQuotes before I have a bank account?
The usual pack includes a corporate bank reference letter addressed to MetaQuotes, or a certified bank statement as an alternative. In practice, that means you need an account first. Start bank or PSP onboarding as soon as the certificate of incorporation is issued.
Do I need a certificate of good standing straight after incorporation?
Usually not. MetaQuotes asks for a certificate of good standing or incumbency when the certificate of incorporation is more than six months old. If your application is delayed past that point, add it to your plan.
Can I get a St Lucia forex licence alongside the company?
No. The Registry FAQ states that Saint Lucia does not currently regulate or licence forex trading, and FSRA warning notices say forex business is not licensed in Saint Lucia. Anyone selling a “St Lucia forex licence” is misdescribing what they offer. Depending on where your clients are, you may need authorisation elsewhere, so take legal advice.
Does using nominee directors or shareholders slow things down?
It can add a few days, because the nominee arrangement and its supporting documents have to be prepared. The agent still carries out full due diligence on the beneficial owners. MetaQuotes also asks for nominee support documents, so ordering them together with formation saves time.
Does forming the company in December or January affect the timeline?
Holiday periods can slow agents, registries and banks. The annual Registry fee is due by 15 January and the shareholder and beneficial-owner return by 15 February, so a company formed around year end reaches its first deadlines quickly. Ask your agent how the timing affects your first annual filings.
How can you help me move faster?
We form your St Lucia IBC through RATLA-licensed agents, give you a day-one document checklist, and prepare the MetaQuotes document pack alongside formation. Compare our packages at /packages/ or email info@stluciacompany.com with your project details.
