St Lucia vs Mauritius for Forex Brokers: 2026 Comparison

St Lucia vs Mauritius for a forex broker: an unlicensed St Lucia IBC base versus a Mauritius GBC with an FSC Investment Dealer licence. Substance, tax, MT5 and upgrade path.

Key takeaways
  • St Lucia gives you a company, not a licence: the FSRA states that forex business is not licensed in Saint Lucia.
  • Mauritius gives you a real licence: a Global Business Company holding an FSC Investment Dealer licence under the Securities Act 2005.
  • Mauritius demands substance by law: core income-generating activities in Mauritius, a management company and at least two resident directors (FSA 2007 s.71(3)).
  • Mauritius tax is 15% corporate, with an 80% partial exemption for FSC-licensed investment dealers that meet substance conditions.
  • Many brokers start with a St Lucia IBC for MT5 and add a Mauritius licensed entity once volumes, banking and client markets justify it.
  • Neither route guarantees MetaQuotes approval; MetaQuotes reviews every applicant on its own documents.

Short answer: company base or regulated licence?

St Lucia vs Mauritius for a forex broker is not a like-for-like choice. A Saint Lucia International Business Company (IBC) is a fast, light company base: Saint Lucia does not licence forex, so you get incorporation, not a regulatory status. Mauritius gives you a licensed broker: a Global Business Company (GBC) that holds an Investment Dealer licence from the Financial Services Commission (FSC), with real substance, people and audits in Mauritius.

In practice the decision comes down to three questions:

  1. Do your target markets, banks or liquidity providers need you to be licensed? If yes, Mauritius (or another licensing jurisdiction) is the stronger answer.
  2. Can you build and pay for a team in Mauritius? The GBC substance rules are statutory, not optional.
  3. How fast do you need a company that can apply for MetaTrader 5? A St Lucia IBC is usually incorporated within days of due diligence; a Mauritius licence depends on how complete your FSC file is.

Many founders do both in sequence: they launch with a St Lucia IBC, apply for MT5, prove the model, then build a Mauritius licensed entity. The rest of this guide explains each route with primary sources and shows that upgrade path step by step. We are a formation and document-preparation service, not a law firm, so treat this as orientation and confirm your own position with qualified counsel.

The table hides one important nuance: a St Lucia IBC is not a “weaker licence”. It is no licence at all, and you must never present it as one. That honesty is exactly what keeps the structure usable.

The St Lucia route: an IBC without a forex licence

Saint Lucia’s financial regulator, the Financial Services Regulatory Authority (FSRA), supervises insurance, international banks, mutual funds, registered agents and trustees, and money services businesses. Forex is not on that list. The FSRA’s own warning notices are blunt: “forex business is not licensed in Saint Lucia. Therefore, documents provided by a forex business company which indicate that it is registered, licensed or in any way affiliated with the Authority are false and misleading.” The Registry of International Business Companies says the same: “Saint Lucia does not currently regulate or licence Forex Trading or Binary Options business.”

What you do get is a well-defined company under the International Business Companies Act, Cap. 12.14:

  • Name ending in “International Business Company” or “IBC” (s.10(11)).
  • Registered agent and registered office in Saint Lucia at all times (ss.38–39); only a licensee under the Registered Agent and Trustee Licensing Act can incorporate (s.4(1)).
  • One director minimum, of any nationality, with no local director required.
  • Limited public information: the memorandum and articles, agent and office are on file; registers sit with the agent.
  • Compliance monitoring: the IBC (Amendment) Act No. 2 of 2022 added a Part 1A regime that lets the Minister inspect agents.

Ongoing duties are predictable: the annual fee is due by 15 January (penalties from 15 February), the shareholder and beneficial owner return goes to the agent by 15 February, and an annual tax return is filed. Companies that ignore these can be struck off.

The practical consequence for a broker: you must not solicit Saint Lucia residents, your website must not imply FSRA licensing, and the laws of your clients’ countries still apply. Our St Lucia IBC for forex brokers guide covers this in more depth, and the St Lucia company formation page explains how we incorporate.

The Mauritius route: GBC plus FSC Investment Dealer licence

Mauritius is a licensing jurisdiction. A broker normally uses two layers: a Global Business Licence for the company and an Investment Dealer licence for the activity.

The GBC layer. Under the Financial Services Act 2007 s.71(1), a Mauritius-resident corporation that is majority foreign-owned and does business principally outside Mauritius needs a Global Business Licence. The application goes through a management company and is certified by a law practitioner (s.72(1)), and all applications are filed on the FSC’s FSCOne portal.

The licence layer. The Securities Act 2005 s.29 creates the investment dealer licence, and Rule 4 of the Securities (Licensing) Rules 2007 sets out the categories:

CategoryWhat it allows (summary of Rule 4)Typical broker use
Full Service DealerActing as intermediary, dealing as principal with intent to resell, advice and portfolio management (FSC criteria SEC-2.1B, version excluding underwriting)Market-maker or hybrid brokers taking the other side of client trades
BrokerExecuting orders for clients, managing portfolios and giving adviceAgency brokers that also advise
Discount BrokerExecuting orders for clients without giving adviceExecution-only STP/NDD models
Investment Dealer (Derivatives)Dealing in derivativesCFD-focused business models

Each category carries its own minimum stated unimpaired capital, fully paid, set in the Fourth Schedule to the Rules. For a GBC, the capital must be evidenced within one month of the licence, with an undertaking not to trade before then. Fees are set in FSC rules (most recently GN 119 of 2026, in force 1 July 2026). Ask a Mauritius management company for current figures; we do not quote them.

What the FSC wants to see. Under its SEC-2.1B criteria the application pack includes personal questionnaires and CVs, a business plan with three-year forecasts, an order-flow chart, trading platform details (including the provider’s regulatory status and a draft agreement), liquidity provider agreement and pricing source, the share of OTC business and risk mitigation, client agreement with legal certificate, compliance and AML/CFT manuals, a professional indemnity insurance quote, business continuity, complaints, conflicts, IT and client money segregation policies, and an undertaking to obtain approvals in target jurisdictions. If you do not answer the FSC’s first query within 15 working days, the application lapses and must be refiled.

Substance: the biggest practical difference

Substance is where the two routes really part company.

Mauritius writes it into statute. FSA 2007 s.71(3)(a) says a Global Business Licence holder “shall, at all times – (i) carry out its core income generating activities in, or from, Mauritius… (ii) be managed and controlled from Mauritius; and (iii) be administered by a management company.” Section 71(3)(b) then lists the factors the FSC looks at:

  • at least two directors resident in Mauritius, with board meetings that include them;
  • the principal bank account held in Mauritius;
  • accounting records kept at the registered office;
  • financial statements audited in Mauritius.

For an investment dealer the FSC also expects an investment dealer team of at least two qualified people (described as “a key component”), a Compliance Officer (outsourcing is possible with board oversight), an MLRO and Deputy MLRO independent of the board, and an FRC-approved auditor. Director changes must be notified within seven days (s.71(3)(c)).

St Lucia is lighter but not empty. IBCs incorporated from 1 January 2019 must have adequate employees, operating expenses and investment for their activity (s.5A(3)(b)), and a statutory declaration on AML, anti-terrorism and income tax is filed at incorporation (s.5A(2)). There is no requirement for a local director or a licensed team.

If you cannot staff a Mauritius office, the licence is not realistic yet, whatever the tax rate looks like.

Tax: 15% with an 80% partial exemption vs St Lucia income tax

Mauritius. The Mauritius Revenue Authority lists a 15% corporate tax rate, and income of an investment dealer licensed by the FSC can qualify for an 80% partial exemption. The exemption is conditional: core income-generating activities must be carried out in Mauritius, with an adequate number of qualified employees and expenditure proportionate to the activity. Strong substance is therefore both a licensing condition and a tax condition.

St Lucia. The old tax-exempt IBC model has ended. In the Registry’s words, “Effective July 1, 2021 all IBCs became subject to income tax and must file annual tax returns.” IBCs incorporated after 2019 are treated as tax resident. The rate that applies to your company depends on its income and facts, so get local tax advice rather than relying on marketing claims.

In both cases, your own residence and the place where the business is really managed can matter as much as the company’s home. Controlled foreign company rules in your country may pull profits back into your personal tax net.

MetaTrader 5: what MetaQuotes looks for in either route

MetaQuotes sells MetaTrader 5 licences in three tiers: Entry (1,000 real accounts), Standard (25,000) and Enterprise (200,000). Its public “how to start a brokerage business” page lists, as step one, a registered company with the relevant business activities registered, compliance with applicable regulatory requirements and a corporate bank account. The broker hosts its own servers.

Whether you use St Lucia or Mauritius, the document pack looks broadly the same:

  1. Certificate of Incorporation.
  2. Certificate of Good Standing or Incumbency (if the company is over six months old).
  3. Register of Directors.
  4. Register of Shareholders, showing ultimate beneficial owners (with nominee support documents where used).
  5. Proof of registered address.
  6. Proof of physical address (utility bill, corporate document or certified confirmation letter).
  7. Domain ownership and a compliant website.
  8. Confirmation of activities: memorandum, or a legal opinion or representation letter.
  9. Corporate bank reference letter addressed to MetaQuotes, or a certified statement.
  10. SumSub verification for the signatory and UBO.

The difference is item 8. A Mauritius licensee shows an FSC licence. A St Lucia IBC shows its objects and, as MetaQuotes recommends, a legal opinion on its position; see our legal opinion guide. The website must show the company name, registered and physical address, an email or form plus a phone number (the client’s own, as MetaQuotes requires), a risk warning and a jurisdiction disclaimer; details are on our MetaQuotes website requirements page and the full list is on MetaQuotes requirements.

We are not affiliated with MetaQuotes, and nobody can promise its approval. A complete, consistent pack is what you control.

Start with a St Lucia IBC ready for your MT5 application

If the St Lucia route fits your first phase, we handle it end to end:

  • Incorporation through licensed St Lucia registered agents, with forex, brokerage and financial services objects drafted for an MT5 application.
  • The MetaQuotes document pack: certificate, incumbency, registers, registered and physical address proof, activities confirmation and the bank reference letter, checked against MetaQuotes’ list before you submit.
  • Add-ons arranged through partners: St Lucia legal opinion, physical address, nominee director or shareholder, and bank or PSP introductions.
  • Website review against MetaQuotes’ disclosure points, including the “not licensed by the FSRA” jurisdiction disclaimer.

Incorporation typically takes about 3–5 business days after due diligence, and most add-ons around a week. When you are ready for Mauritius, we tell you what carries over and what has to be built locally.

The upgrade path: from St Lucia IBC to a Mauritius licence

A staged plan keeps early costs controlled while building toward a licence. A typical sequence:

  1. Incorporate the St Lucia IBC with financial services objects, open banking and PSP relationships, and file the substance declaration.
  2. Prepare and submit the MetaQuotes pack, including the legal opinion and a compliant website with restricted countries listed.
  3. Operate cleanly: no Saint Lucia solicitation, no false licensing claims, tidy records and on-time annual filings. A clean history helps later due diligence.
  4. Decide the Mauritius category from your real order flow: execution-only, broker with advice, full service dealer or derivatives.
  5. Appoint a Mauritius management company and line up two resident directors, the dealer team, Compliance Officer, MLRO and Deputy MLRO, and an FRC-approved auditor.
  6. Build the FSC file: business plan with three-year forecasts, order-flow chart, platform and liquidity agreements, policies and manuals, PI insurance quote.
  7. File the GBC and Investment Dealer applications on FSCOne and answer every FSC query well within 15 working days.
  8. Inject the capital within one month of licensing and only start trading once that is evidenced.
  9. Migrate clients deliberately: new terms, fresh onboarding where needed and clear communication. The St Lucia IBC can continue for activities that do not need a licence, or be wound down.

The Mauritius entity is a new, separate company, and its MT5 arrangements are a matter between it and MetaQuotes. Take legal advice on group structure and on how clients move between entities. For the licence side of other jurisdictions, our sister site mt5license.net covers own-licence routes.

Frequently asked questions

Is a St Lucia IBC a forex licence?

No. The FSRA states that forex business is not licensed in Saint Lucia, and the Registry says the country does not currently regulate or licence forex trading. A St Lucia IBC is a company that can carry on business outside Saint Lucia, and you must never describe it as licensed or regulated by the FSRA.

What licence does a forex broker need in Mauritius?

Brokers usually operate through a Global Business Company holding an Investment Dealer licence from the FSC under the Securities Act 2005. The Securities (Licensing) Rules 2007 split it into Full Service Dealer, Broker, Discount Broker and Investment Dealer (Derivatives). The right category depends on whether you take client risk, give advice or only execute orders.

How many resident directors does a Mauritius GBC need?

The substance factors in FSA 2007 s.71(3)(b) include at least two directors resident in Mauritius, and board meetings should include them. The company must also be administered by a management company. A St Lucia IBC, by contrast, needs only one director of any nationality.

What is the corporate tax rate for a Mauritius investment dealer?

The headline rate is 15%. Income of an FSC-licensed investment dealer can qualify for an 80% partial exemption if core income-generating activities are in Mauritius with adequate qualified staff and proportionate expenditure. Confirm your figures with a Mauritius tax adviser.

Do St Lucia IBCs pay tax?

Yes, in principle. The Registry states that from 1 July 2021 all IBCs became subject to income tax and must file annual tax returns. The rate and any reliefs depend on your company’s income and facts, so take local tax advice.

Which is faster to set up?

A St Lucia IBC, by a wide margin: incorporation is typically around 3–5 business days after due diligence. The FSC does not publish a timeline for licences, and its FAQ says timing depends on how complete the application is. If you miss the 15-working-day window to answer the FSC’s first query, the application lapses.

Can a St Lucia IBC apply for a MetaTrader 5 licence?

Yes, it can apply, provided its activities, documents, bank reference and website meet MetaQuotes’ requirements, ideally supported by a legal opinion. MetaQuotes reviews each applicant and makes its own decision. We are not affiliated with MetaQuotes and cannot guarantee approval.

Is there minimum capital for each route?

A St Lucia IBC has no licence capital requirement. A Mauritius investment dealer must hold minimum stated unimpaired capital that varies by category and must be fully paid. A GBC must evidence it within one month of licensing and keep it maintained, telling the FSC at once if it falls short.

Can I convert my St Lucia IBC into a Mauritius licensed broker?

The usual approach is to set up a new Mauritius GBC and apply for the Investment Dealer licence through a management company, rather than moving the St Lucia company. The two entities can sit in one group. Get legal advice on structure and on how clients move across.

How can I check a Mauritius licence or a St Lucia company?

For Mauritius, search the FSC register of licensees on fscmauritius.org. For St Lucia there is no confirmed free public IBC search; a certificate of good standing is obtained through the registered agent. Remember that a St Lucia company record shows registration, not a licence.

Which route suits a prop trading firm?

Most prop firms start with a St Lucia IBC because they need a clean company, banking and MT5 access rather than a dealer licence. If the model drifts toward holding client funds or acting as a broker, revisit licensing. See our prop firm MT5 setup page for details.

Do you help with the Mauritius licence?

Our core service is forming St Lucia IBCs through licensed agents and preparing the MetaQuotes document pack. For Mauritius, a local management company and law practitioner must file. We can explain what carries over from your St Lucia set-up; email info@stluciacompany.com.
